These Terms & Conditions govern the use of the websites biocharlink.com, buy-biochar.com and sell-biochar.com(together, the “Platform”), operated by PyroCCS GmbH, Neue Weyerstr. 2, 50676 Cologne, Germany, email imprint@biocharlink.com, registered with the commercial register of Amtsgericht Köln under HRB 110786 (the “Operator”).
The Platform is offered exclusively to businesses and entrepreneurswithin the meaning of § 14 BGB. By registering or submitting a listing, the user (“User”) represents that it acts in its commercial or independent professional capacity. The Platform is not available to consumers.
The Platform allows Users to submit biochar buy or sell listings via a self-service questionnaire. The Operator may match Users manually or, in the future, through automated means.
Where a match leads to a transaction, the parties’ commercial relationship is set out in a separate per-deal agreement and may take one of the following forms:
These Terms do not themselves conclude any supply or brokerage contract.
Listing biochar on the Platform is free of charge. Commissions (in brokerage cases) and prices (in resale or commission-agency cases) are agreed individually per transaction.
The Operator gives no guarantee of a match, lead quality, listing visibility, ranking, response time, or Platform availability. Matching logic and Platform features may change at any time without notice.
The Operator may reject, edit, hide, suspend or delete any listing or account at any time, at its sole discretion, without prior notice, without stating a reason, and without liability. No refund, credit or compensation arises from such action.
The User grants the Operator a worldwide, royalty-free, sublicensable licence to host, display, reproduce, translate and use submitted listing content (including lab reports, photos and specifications) for the purpose of operating and promoting the Platform. The Operator may in particular publish listings in anonymised or pseudonymised form on the Platform, on its social-media channels (including LinkedIn, X, TikTok, Instagram and Facebook) and hand such anonymised listings to third parties engaged to publish, distribute or further process them. The User warrants that it holds all necessary rights to grant this licence and that the content is accurate and does not infringe third-party rights.

For 12 monthsafter the Operator communicates a match, the User may not conclude biochar transactions with the matched counterparty outside the Operator’s facilitation without the Operator’s prior written consent. In case of breach, the User owes liquidated damages equal to the commission that would have been payable to the Operator, without prejudice to further claims.
The Operator is liable without limitation for intent and gross negligence. For slight negligence, the Operator is liable only for breach of material contractual duties (Kardinalpflichten), and only up to the foreseeable, contract-typical damage. Liability under the Produkthaftungsgesetz, for injury to life, body or health, and for fraudulent concealment remains unaffected. The Operator is not liable for lost profits, indirect or consequential damages, or the acts or omissions of other Users.
The User shall indemnify the Operator against third-party claims arising from its submitted content or its breach of these Terms.
The contractual relationship runs for an indefinite period. Either party may terminate in text form with 14 days’ notice. The Operator may terminate or suspend immediately for material breach of these Terms.
The Operator may amend these Terms with at least 30 days’ prior notice by email; if the User does not object within that period, the amendments are deemed accepted. A timely objection entitles the Operator to terminate the contract.
Processing of personal data is governed by our Privacy Policy. The User warrants compliance with applicable EU, UN and US sanctions and export-control rules. Neither party is liable for delay or failure caused by force majeure. Should any provision be invalid, the remainder of these Terms remains unaffected. English is the binding language of these Terms; any translation is for convenience only.
These Terms are governed by the substantive law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-laws rules. Exclusive place of jurisdiction for all disputes arising from or in connection with these Terms or the Platform is Cologne, Germany.
